AURL’s Constitution restricts who can own shares in the Company. Only Approved Store Owners can own shares in the Company. Persons who are interested in registering to buy or sell shares in the Company will need to register by following the process outlined below.

REGISTER AS A BUYER

To purchase AURL shares you will need to agree a price between the seller and yourself as a buyer. The company is assisting potential sellers and buyers of shares by operating a Low Volume Financial Market (LVFM) in its shares, under an exemption provided by Corporations Act 2001.

The purpose of the LVFM is only to assist parties who may wish to transact in AURL shares to get in contact with each other. It is then up to each party to negotiate and execute a transaction and complete and lodge a Standard Transfer Form with Computershare. AURL plays no role in the negotiation and pricing of any trade under the LVFM and the identity of interested Buyers and Sellers will only be disclosed to persons who register an interest.

Should you wish to register your interest in buying AURL shares on the LVFM, please follow the process outlined below.

Once you are registered as either a Buyer or a Seller you will have access to the FoodWorks Extranet where you will be able to see details of other persons who have indicated a willingness to buy or sell AURL shares.

To sell your AURL shares you will need to agree a price between the eligible buyer and yourself as a seller. The company is assisting potential sellers and buyers of shares by operating a Low Volume Financial Market (LVFM) in its shares, under an exemption provided by Corporations Act 2001.

The purpose of the LVFM is only to assist parties who may wish to transact in AURL shares to get in contact with each other. IMPORTANT INFORMATION FOR BOTH POTENTIAL BUYERS AND SELLERS FROM AURL

The Company advises that:

  • The LVFM is covered by an exemption under section 791C of the Corporations Act 2001;
  • The operator is not licensed under Part 7.2 of the Corporations Act 2001;
  • The operator is not subject to the legal obligations that apply to the operator of a licensed market, including the requirement, to the extent that this is reasonably practicable to do so, to do all things necessary to ensure that the market is a fair, orderly and transparent market;
  • Buyers and sellers of AURL shares should obtain professional advice from their financial and legal advisers prior to transacting in AURL shares;
  • Each AURL shareholder is issued with an Issuer Holding Statement for their AURL Shares. Buyers may inspect the Register of Members for AURL at its Share Registry to confirm the seller is the registered holder of the Shares. AURL takes no responsibility for, and has no liability to, any buyer who does not receive good title to any AURL Shares they have paid for; and
  • The operator and its Directors, Officers, employees or contractors do not and will not act as a broker, market maker, or financial adviser in respect of any transaction involving AURL securities.
